1. Purpose

This Statement of Work (“SOW”) defines the scope, deliverables, timeline, fees, and acceptance criteria for consulting, programming, reintegration, optimization, and training services performed by Consultant under the Terms of Service.

2. Scope of Work

Consultant will perform services that may include:

  • Programming, repairing, optimizing, or re-integrating CMMs, vision systems, SPC data systems, and related platforms;

  • Migrating or restructuring data between systems;

  • Troubleshooting measurement/system issues and improving throughput;

  • Implementing workflow automation, reporting, and cross-platform communication;

  • On-site or remote implementation and support;

  • Operator training, documentation, and knowledge transfer.

Project-specific tasks:

Any work not explicitly listed is considered out of scope.

3. Deliverables

Deliverables may include:

  • Updated programs, scripts, or configuration files

  • Troubleshooting findings or optimization report

  • Operator guides or training materials

  • Documentation handoff

6. Assumptions & Dependencies

This SOW assumes:

  • Client provides full system access, credentials, and licensing;

  • Client maintains backups prior to implementation;

  • Required hardware/software is operational;

  • A Client point of contact is available for approvals.

External dependencies may affect pricing or timeline.

7. Acceptance Criteria

Deliverables are considered accepted after Client review during the Acceptance Period (typically five business days), unless written objections are submitted.
Issues raised after acceptance will be treated as new scope.

8. Change Control

Any change to this SOW—including scope, deliverables, pricing, or timeline—must be approved through a written Change Order.

9. Term & Termination

This SOW remains in effect until completion or earlier termination under the Terms of Service.
Client shall pay for all work performed up to termination.
